Terms of Service

These Terms govern access to and use of SOCIAL DM AI SYSTEM, an AI-powered Instagram direct-message sales inbox for businesses.

Effective date: September 1, 2026

1. Acceptance of Terms

By creating an account, joining a workspace, connecting an Instagram account, or using the service, you agree to these Terms. If you use the service for a business or other organization, you represent that you have authority to bind it. If you do not agree, do not use the service.

2. The service

SOCIAL DM AI SYSTEM lets authorized business users manage workspaces, connect an eligible Instagram professional account, receive and view direct messages, configure products and business knowledge, generate or send AI-assisted replies when enabled, and switch conversations to human handling. Features may be introduced, changed, limited, or removed over time. We do not promise any particular sales result, response quality, or uninterrupted availability.

3. Eligibility and accounts

You must have legal capacity to agree to these Terms and use the service for legitimate business purposes. You must provide accurate account information, protect your credentials, keep workspace access current, and promptly notify us of suspected unauthorized use. You are responsible for activity by users you authorize and for assigning appropriate workspace roles.

4. Workspaces and business responsibility

Each business is responsible for its workspace, its connected account, and all products, services, prices, inventory, policies, FAQs, aliases, instructions, and other knowledge it enters. You must keep that information accurate and have the rights and permissions needed to use it. You are responsible for customer promises, transactions, fulfillment, returns, regulated statements, and compliance with laws applicable to your business.

5. Connecting Instagram and Meta accounts

You may connect only an Instagram account you are authorized to administer. You authorize the service to receive available account and messaging data, subscribe to relevant webhooks, and send replies through that account as needed to provide enabled features. You must follow Meta's and Instagram's terms, platform policies, permissions, and messaging rules. SOCIAL DM AI SYSTEM is independent from and is not endorsed by Meta or Instagram. Meta may restrict or discontinue access, which can affect the service.

6. AI-generated content

AI-generated responses may occasionally be inaccurate, incomplete, outdated, or inappropriate for a particular customer or situation. AI does not replace professional judgment. You remain responsible for the information, products, prices, policies, and instructions you configure, for choosing whether automated replies are enabled, for monitoring conversations, and for messages sent through your connected account.

You should review outputs when the context, risk, or law calls for human review and promptly use human takeover when needed. Do not rely on the service for legal, medical, financial, emergency, or other high-stakes advice. We do not guarantee that AI will respond perfectly, increase sales, or always be available.

7. Customer data and your content

You retain rights you have in business information and content you submit. You grant us a non-exclusive, worldwide, limited license to host, copy, process, transmit, display, and use that content and connected-account data only as needed to operate, secure, support, and improve the service and meet legal obligations. You represent that you have a lawful basis and all necessary notices, consents, and rights to provide and process customer and Instagram messaging data through the service.

You must respond appropriately to customer privacy requests and must not instruct the system to collect or disclose information unlawfully. Our handling of personal information is described in the Privacy Policy.

8. Prohibited uses

You may not use the service to:

  • violate law, third-party rights, or Meta or Instagram rules;
  • send spam, deceptive messages, harassment, threats, discriminatory content, malware, or unlawful promotions;
  • impersonate others or connect an account without authorization;
  • collect, expose, or infer sensitive information without a lawful need and appropriate safeguards;
  • bypass access controls, security measures, rate limits, human-takeover controls, or platform restrictions;
  • probe, disrupt, overload, reverse engineer, or misuse the service except where applicable law expressly permits;
  • use outputs or access to build a competing service in violation of our rights; or
  • represent AI output as guaranteed, verified, or professional advice.

9. Our intellectual property

We and our licensors retain all rights in the service, including its software, interfaces, design, branding, and documentation. Except for the limited right to use the service under these Terms, no rights are transferred to you. Feedback may be used without restriction or obligation, provided we do not publicly identify you as its source without permission.

10. Third-party services

The service depends on third parties, including Meta/Instagram, AI providers such as OpenAI, and hosting, database, and email infrastructure. Their services may have separate terms and privacy practices. We are not responsible for third-party platforms, changes, outages, account actions, or content outside our control.

11. Availability and changes

We may maintain, update, secure, or change the service and may experience interruptions or errors. We do not commit to a service level unless agreed separately in writing. Features may be limited to protect users, comply with law or platform requirements, or address operational or security risk.

12. Suspension and termination

You may stop using the service and disconnect Instagram at any time. We may suspend or terminate access when we reasonably believe there is a violation of these Terms, legal or security risk, harm to others or the service, a third-party platform restriction, or a need to comply with law. Where practical, we will provide notice and an opportunity to address the issue. Provisions that by their nature should survive termination will survive, including ownership, disclaimers, liability limitations, and responsibility for prior activity.

13. Disclaimers

To the fullest extent permitted by law, the service is provided “as is” and “as available.” We disclaim implied warranties, including merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing. We do not warrant that the service or AI output will be accurate, complete, secure, uninterrupted, error-free, or suitable for your business. Nothing in these Terms excludes warranties that cannot lawfully be excluded.

14. Limitation of liability

To the fullest extent permitted by law, SOCIAL DM AI SYSTEM and its operators, suppliers, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, business opportunities, or sales, arising from the service or these Terms. Any aggregate liability will be limited to the greater of amounts paid by you for the service during the twelve months before the event giving rise to the claim or US $100. These limits do not apply where prohibited by law.

15. Changes to these Terms

We may update these Terms to reflect service, legal, or operational changes. We will post revised Terms and update the effective date, with additional notice when required. Continued use after revised Terms take effect constitutes acceptance where permitted by law.

16. General and contact

If any provision is unenforceable, the remaining provisions remain in effect. A failure to enforce a provision is not a waiver. Applicable mandatory laws remain unaffected.
